These Terms of Service ("Terms") are a binding agreement between you and SCHANKEYDIGITAL LLC, a Wisconsin limited liability company ("we", "us", "our"), and apply to your use of privatepocketai.com (the "Site") and your purchase of Private Pocket AI products and services from us. By accessing the Site, placing an order or downloading our materials, you agree to these Terms. If you do not agree, do not use the Site or buy from us.
1. Acceptance of these terms
You accept these Terms on behalf of yourself, or on behalf of a company or other entity if you have authority to bind it, in which case "you" includes that entity. These Terms incorporate our Refund Policy, Subscription Terms and Privacy Policy.
2. Our products and services
We offer (a) Private Pocket AI course, a digital educational guide with downloadable files, including the Private Pocket AI installer, 100 prompts and 5 personality templates ("course"); and (b) the optional Agent Club membership. We call these the "Products". The course teaches you how to set up and use an AI assistant on a server that you rent and control. We do not host, operate or have access to your assistant, and we are not a party to your agreement with any hosting provider.
3. Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, to buy from us. Information you give us, including your name and email address, must be accurate and kept up to date. You are responsible for the security of the email account that receives your download links.
4. License and permitted use
Subject to these Terms and payment in full, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Products for your own personal or internal business purposes. The license covers setting up and running your own assistant on servers you control. Lifetime access means access for as long as we make the Products available, and does not entitle you to future products, updates or upgrades unless we state so.
5. Restrictions
You may not, and may not permit anyone else to: (a) share, publish or distribute your download links, the course or any files from it; (b) resell, sublicense, rent, lease or commercially exploit the Products; (c) use the Products to build a competing course, guide or installer; (d) remove proprietary notices; (e) circumvent access controls; (f) record or redistribute live sessions or member materials; (g) use the Products or the Site for unlawful, harmful, infringing or deceptive purposes, or in violation of your hosting provider's terms; or (h) use automated means to scrape, overload or interfere with the Site.
6. Intellectual property
The Site and the Products, including text, graphics, layouts, installer scripts (excluding open-source components), prompts, templates, trademarks and logos, are owned by SCHANKEYDIGITAL LLC or its licensors and are protected by copyright, trademark and other laws. Except for the license in section 4, no rights are transferred to you. "Private Pocket AI", "Private Pocket AI course", "Private Pocket AI installer" and "Agent Club" are names used by us in commerce. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
Content you create with your own assistant belongs to you as between you and us. We claim no ownership of it.
7. Third-party services and open-source software
The Products rely on third-party hosting providers, networking services, messaging apps and open-source software and AI models. Those services and components are provided by others under their own terms, licenses and prices, which may change without notice. We do not control them, are not responsible for them, and make no promise that they will remain available, affordable or compatible. You are responsible for your accounts with them and for complying with their terms and licenses. Private Pocket AI is independent and is not affiliated with, endorsed by or sponsored by OpenAI, Google or any hosting provider.
8. Your responsibilities
You are solely responsible for: your server and its configuration; keeping passwords, keys and access credentials secure; applying updates and maintaining backups; the data you store and the content you generate with your assistant; any fees charged by your hosting provider; and complying with all laws that apply to your use, including privacy, data-protection, intellectual-property and consumer laws. If you use your assistant to process other people's personal information, you are responsible for having a lawful basis to do so.
9. AI outputs and no professional advice
AI assistants can produce inaccurate, incomplete, outdated or inappropriate output. The Products are educational and provided for general information. Nothing in the Products or in any output from your assistant is legal, medical, financial, tax or other professional advice, and you should not rely on it as such. Always check important information, and consult a qualified professional before making decisions that matter. You use AI output at your own risk.
10. Orders, payments and taxes
All prices are in US dollars unless stated. You authorize us and our payment processor to charge the payment method you provide for the amounts due. Orders are subject to acceptance and payment confirmation; we may decline or cancel any order, for example in cases of suspected fraud or pricing errors, and will refund any amount charged. You are responsible for any taxes that apply, and we will add sales tax or similar charges where required by law. Payment card data is handled by our payment processor; we do not store your full card number.
11. Subscriptions and refunds
Agent Club is billed on a recurring basis as described in our Subscription Terms. Refunds are governed by our Refund Policy. Nothing in these Terms limits our 30-day money-back guarantee for the Private Pocket AI course.
12. Support
We provide email support for setup and use of the Products, normally within one business day, Monday to Friday. Support covers the Products as we describe them and does not extend to third-party services, your hosting account or custom development. Priority support is available to active Agent Club members.
13. Website use and contact submissions
You may use the Site for lawful purposes only. Messages you send through our contact form or by email are used to respond to you, as described in our Privacy Policy. Do not send passwords, payment card numbers or sensitive personal information through the Site or by email.
14. Disclaimer of warranties
To the fullest extent permitted by law, the Site and the Products are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not warrant that the Products will meet your requirements, that any setup will be uninterrupted, error-free or secure, that third-party services will remain available, or that AI output will be accurate or reliable. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
15. Limitation of liability
To the fullest extent permitted by law, SCHANKEYDIGITAL LLC and its members, managers, officers, employees, contractors and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to the Site or the Products, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Site or the Products is limited to the amount you paid us for the Products in the 12 months before the event giving rise to the claim. These limits apply regardless of the legal theory, and do not exclude liability that cannot be excluded by law.
16. Indemnification
You agree to defend, indemnify and hold harmless SCHANKEYDIGITAL LLC and its members, managers, officers, employees and contractors from any claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Products, content you generate or process with your assistant, or your violation of any law or third-party right.
17. Termination
We may suspend or terminate your license and access if you breach these Terms or we are required to by law, subject to any refund obligations in our Refund Policy. You may stop using the Products at any time. Sections that by their nature should survive termination, including sections 5, 6, 8, 9, 14 to 16 and 18 to 21, will survive.
18. Governing law
These Terms, and any dispute arising from them or from the Products, are governed by the laws of the State of Wisconsin, United States, without regard to conflict-of-law rules. Where applicable law gives you mandatory consumer protections in the place where you live, those protections continue to apply.
19. Dispute resolution and arbitration
Informal resolution first. Before starting any formal proceeding, you agree to contact us at support@privatepocketai.com with a written description of the dispute, and we will try in good faith to resolve it within 60 days.
Binding arbitration. If a dispute is not resolved informally, you and we agree that it will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, instead of in court, except as stated below. The arbitration may be conducted by video conference, by written submissions, or in Milwaukee County, Wisconsin. Judgment on the award may be entered in any court of competent jurisdiction. We will pay the filing, administrative and arbitrator fees beyond the amount you would pay to file a court case, unless the arbitrator finds your claim frivolous.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court to protect its intellectual property rights. For any dispute not subject to arbitration, you and we submit to the exclusive jurisdiction of the state and federal courts located in Milwaukee County, Wisconsin.
Opt out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@privatepocketai.com with the subject "Arbitration opt-out" and your name and order email.
20. Class action waiver
To the fullest extent permitted by law, you and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective or representative proceeding. The arbitrator may not consolidate claims or preside over any class proceeding.
21. General provisions
Entire agreement. These Terms, with the policies they incorporate, are the entire agreement between you and us about the Products. Severability. If a provision is held unenforceable, it will be enforced to the maximum extent permitted and the rest remain in effect. No waiver. Failure to enforce a provision is not a waiver. Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including outages of third-party services. Notices. We may give you notice by email or by posting on the Site. Export. You will comply with applicable export and sanctions laws. Electronic communications. You consent to receive communications from us electronically, and agree that they satisfy any legal requirement that they be in writing.
22. Changes to these terms
We may update these Terms from time to time. The "Last updated" date above shows when they last changed. For material changes we will give notice by email or on the Site. Changes apply to purchases and use after the effective date; they do not change the terms of orders you placed earlier.
